Efficiency Legal is a full-service business law firm operating out of Enugu, Nigeria and serving global clients. It was established in 2022, by Sam Orji, Esq. following his departure from Ikeyi Shittu & Co. (“ISC”, formerly known as Ikeyi & Arifayan). At the time of his departure from ISC where he had been a senior associate for 5 years before becoming a partner for over 6 years, Sam was leading the ICT practice (including data privacy practice), the Labour and Employment law practice, and the Real Estate law practice of the firm, while co-leading the Corporate and Investment law and Dispute Resolution practices of the firm. He was also the managing partner in charge of the Enugu office of ISC.

Corporate & Investment Law
Our experience includes:
• Provided company restructuring services to bring in needed equity based investors and appropriate mix of board members and conformed object clauses for preexisting company that wanted to go into power generation following the passage of the Electricity Act 2023.
• Provided legal advisory and transaction support services to the first company to be licensed by the Enugu State Electricity Regulatory Commission for independent power generation in the State, during the licensing process, under the Enugu State Electricity Law 2023.
• Provided legal advisory and transaction support services to an independent power generation company in its development of a 4 MW independent power plant at 9th Mile for the provision of captive power for the use of the Enugu State Water Corporation.
• Providing legal advisory and support services to an independent power generation company that is providing captive power to an off taker towards the management and possible resolution of a tariff dispute arising from economic shock that resulted from the plummeting of the naira against the dollar which escalated gas price beyond what was contemplated by the parties at inception.
• Providing legal advisory and transaction support services to a major estate development company in its acquisition of land from communities and subsequent development of same into a gated layout provided with sites and services and various plots to be sold to off takers.
• Providing legal advisory and transaction support services to an investor being financed by Afrinvest in the investor’s management of his loan account with Afrinvest during the term of the facility.
• Providing legal advisory and support services to a multinational construction company executing various Federal Government donor agency funded projects in different parts of Nigeria for the management of the various issues arising from or in relation to the company’s execution of the projects.
• Providing start up services to ICT company in the establishment of their subsidiaries in Nigeria.
• Provided legal advisory and transaction support to various multinational companies operating in Nigeria during the implementation of their respective redundancy plans, particularly in the wake of the covid 19 pandemic.
Real estate
Our experience includes:
• Provided legal advisory and transaction support services for the sale and purchase of a multi million naira property in Independence Layout, Enugu, by the testamentary trustees of a deceased owner, where the testamentary trustees live in different parts of the globe outside Nigeria and did not want to travel to Nigeria for the purpose of the transaction.
• Provided legal advisory and transaction support services for joint estate development agreement in Guzape, Abuja, where one party owned the land and the other funded the development in consideration for ownership of some of the duplexes and joint interest in the post construction leasing and management of the estate.
• Provided legal advisory and transaction support services for the purchase of one billion naira worth of partly built structure being threatened with revocation for non payment of premium, under terms that guaranteed the payment of premium and abatement of the notice of intention to revoke before full payment and final transfer of title.
• Provided legal advisory and legal support services to a time conscious investor in his acquisition of a commercial building fully occupied by tenants and his eviction of the tenants within 3 months to enable him to demolish and start the construction of a plaza by the 4th month following the acquisition.
• Successfully represented one landowning family in a suit to recover their family land earlier acquired by Government for public purpose but subsequently granted to private estate developers for their private businesses.
• Successfully represented a notable estate development company in a suit to recover land granted to it by a community and subsequently granted by the State Housing Corporation by another faction of the community leadership.
• Successfully represented some offtakers in their suit against an estate development company that offered buildings to them on the promise of making mortgage facility available to them but subsequently turned round to demand full payment or forfeiture of allocation after it collected initial payments from them and used their presence on the estate to drive up its sales.
Succession and Inheritance of Estate
Our experience includes:
• Successfully provided legal advisory and transaction support services to some Canadian based clients in their struggle to be included as administrators of their father’s intestate estate alongside their mother who wanted them excluded as administrators.
• Provided legal advisory and transaction support services to some clients in their struggle to ascertain the extent of their deceased father’s interest in a company that owns and operates a 3 star hotel and in facilitating the vesting of the shares in the administrators of the estate for onward distribution to the beneficiaries thereof.
• Provided legal advisory and support services to the beneficiaries of a high net worth individual that passed on under a situation of partial intestacy towards their understanding his desires for his various property, most of which were held by his various private companies and implementing those desires in line with the applicable laws.
• Provided legal advisory and support services to the beneficiaries of a high net worth individual that died testate in guiding them through the process of unsealing and reading of the Will, the probate of the Will and the administration of the estate by the executors in line with the provisions of the Will.
• Provided legal advisory and transaction support services to a solo surviving individual administrator of an intestate estate in his application for the substitution of his deceased co administrator.
• Prepared and registered deed of vesting assent for testamentary trustees to enable them to validly transfer title in the trust property to a third party purchaser following the consensual determination of the trust by the beneficiaries upon their decision to sell the trust property.
• Processed and obtained letters of administration without Will involving real property within 2 months to enable the beneficiaries to validly transfer legal title in the property to a prospective buyer within a pre agreed timeline.
ICT/ Data Protection and Privacy Law
Our experience includes:
• Provided regulatory advisory and liaison services with the National Information Technology Development Agency (“NITDA”) in respect of an advisory issued to a leading global software development company, and a leading global provider of caller ID and spam blocking services.
• Involved as defence counsel in a data privacy class action litigation against a global software development company.
• Providing legal advisory and transaction support services to clients involved in software development, deployment and support services to end users of their products.
• Reviewed data privacy policy and cookies policy documents of an international caller identification App operator to bring them in line with Nigerian data privacy and protection laws.
• Conducted data privacy audit on the data processing practices and policy of an IT company to assess their compliance with Nigerian data privacy and protection laws and advise accordingly.
Power/ Electricity
Our experience includes:

• Representing some families in a community in their suit to ward of the trespassory activities of some land grabbers in their community that have encroached into their farmland and are making efforts to sell it off to unsuspecting third parties.
• Representing a mortgagor that has paid of its loan in a suit it filed against the commercial bank or mortgagee for loss of its original title documents to the mortgaged properties.
• Represented a registered trade union in a suit it commenced before the Nation Industrial Court to stop a rival trade union from encroaching on its area of jurisdiction.
• Represented a client in divorce proceedings and successfully obtained for her custody of the only child of the marriage.
